1. Agreement to Terms

By accessing or using the website Temple Gearz LLC (the "Platform" or "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. These Terms apply to all visitors, users, and others who access or use the Service. If you disagree with any part of the terms, then you may not access the Service.

 

2. Temple Gearz’s Role as a Marketplace Intermediary

Temple Gearz LLC is an online venue and marketplace intermediary.

  • Platform Only: We provide a platform that connects independent third-party vendors ("Vendors") with customers. Temple Gearz LLC is not the seller, producer, or manufacturer of the products listed by Vendors.

  • Merchant of Record: Temple Gearz acts as the Merchant of Record solely for payment processing. We collect the purchase price from the customer and remit the balance (minus our commission/fee) to the Vendor through the Stripe Connect platform.

  • No Agency: Your relationship with Temple Gearz is that of an independent customer. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Temple Gearz.

 

3. Vendor Responsibility for Products and Fulfillment

Vendors who utilize the Temple Gearz Platform are independent business entities and are solely responsible for the following:

  • Product Quality and Accuracy: Ensuring the accuracy of all product descriptions, images, and prices.

  • Fulfillment: Packaging, shipping, and ensuring the timely delivery of all purchased goods.

  • Warranties: Providing any product warranties, express or implied, related to the item purchased.

  • Taxes: Calculating and remitting any taxes due on the sale of their goods, other than sales tax collected by the platform (Temple Gearz).

 

4. Intellectual Property Rights

All content on the Temple Gearz Platform, including logos, text, graphics, and designs (excluding content uploaded by Vendors), is the property of Temple Gearz LLC and is protected by intellectual property laws.

  • Vendors retain all rights to the products they upload, but grant Temple Gearz a limited, non-exclusive, royalty-free license to display and market their products and content on the Platform.

  • Infringement: Temple Gearz is not responsible for any infringement of copyright, patent, or trademark that results from content posted by Vendors. Vendors are solely liable for ensuring their content does not violate any third-party rights.

 

5. Account Registration and Termination

  • Customer Accounts: You agree to provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account password.

  • Termination: Temple Gearz reserves the right to suspend or terminate any customer or Vendor account for any reason, including without limitation, breach of these Terms, abusive behavior, or fraudulent activity, without prior notice or liability.

 

6. Limitation of Liability and Disclaimer

Temple Gearz makes no representations or warranties, express or implied, regarding any products sold by Vendors on the Platform.

Temple Gearz will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Any product sold or fulfilled by a Vendor;

  • The conduct or content of any third party on the Service;

  • Any unauthorized access, use, or alteration of your transmissions or content.

 

7. Governing Law and Dispute Resolution

 

These Terms shall be governed and construed in accordance with the laws of Colorado, without regard to its conflict of law provisions. Any dispute arising from these Terms will be resolved exclusively in the state or federal courts located in Denver, Colorado, USA.
